I. Purpose

The Founders Club was established to remember Founders Day, September 8, 1958, the first Convocation of then Louisiana State University in New Orleans (LSUNO); to honor retirees at an official reception by the University and the Club; and, to hold a Founders Club luncheon on the first Friday after Labor Day each year.  The Founders Club also works to strengthen and support The University of New Orleans, its academic enterprise, and its position in the greater New Orleans community.

II. Membership Eligibility

The Charter Members of the Founders Club of The University of New Orleans, herein referred to as the Club, shall be all faculty and staff members who were employed by the University prior to June 8, 1962.

Faculty and staff are eligible to become Active Members of the Club on the 20th anniversary of their initial appointment if they have at least 15 total years of service at the University, and their eligibility for Active Membership extends into retirement.

Alumni are eligible to become Active Members of the Club on the 20th anniversary of their graduation from the University.

Those who have made significant contributions to The University of New Orleans may be awarded Active Membership in the Founders Club as determined by a majority vote of its Board of Directors.

Faculty, staff, alumni, and other supporters of The University of New Orleans not meeting the above requirements for Active Membership are welcome to participate in all Club activities, but they are not eligible to vote on Club matters.

III. Active Membership

The Active Members of the Club shall be those who meet the membership eligibility requirements and have paid their current membership.

IV. Membership Dues

The amount and schedule of membership dues shall be determined by a majority of Active Members present at a scheduled meeting of the Club.

V. Officers

The Officers of the Club shall be a President, Vice President, Secretary, Treasurer, Alumni Association Liaison, and Member-at-Large whose appointments, prerogatives, and duties as are prescribed herein and by custom.  Collectively, these officers constitute the Board of Directors of the Founders Club.

Election of Officers

All officers of the Club shall be Active Members elected by a majority of Active Members present at the annual business meeting of the Club designated for that purpose.

All officers of the Club shall have terms of office for one year from the date of the election.

Duties of Officers

The President shall be the presiding officer at all meetings of the Club and shall have the authority to appoint committees.

The Vice President shall be the presiding officer at all meetings of the Club in absence of the President. The Vice President shall have the primary responsibility for working with and overseeing any committee appointed by the President.

The Secretary shall be responsible for keeping the minutes of all Club meetings, maintaining the official file of all minutes of meetings and all other records of Club transactions, and other appropriate secretarial duties as assigned.  Copies of the minutes shall be made available to any Active Member requesting a copy.

The Treasurer shall collect all dues and other monies and deposit them in the University of New Orleans account set up for that purpose. Disbursements of Club funds shall be made by the Treasurer as directed by approved resolutions of Active Members. The Treasurer shall maintain records of all financial transactions, and account for these transactions as requested by a majority of the Active Members present at a meeting.

The Alumni Association Liaison shall be the communication channel between the Club and The University of New Orleans International Alumni Association.

The Member-at-Large shall work with the President to help ensure compliance with Board policies and procedures and all relevant legal and ethical standards. The Member-at-Large also shall serve as Club’s Parliamentarian.

VI. Meetings

Meetings shall be held annually in September immediately prior to the Founders Club luncheon.  Notice of the annual Club meeting shall be sent to all Active Members at least 10 calendar days before the scheduled meeting.
Special meetings of the Club also may be called either by the President or by petition of one-fifth of the Active Members with the same notice requirement as that for the annual meeting.

Meetings shall be presided over by the President or, in the absence of that officer, the Vice President, Secretary, Treasurer, Alumni Association Liaison, Member-at-Large,or a member so designated by those present in that order.
Quorums for meetings shall consist of the Active Members who attend the meeting provided it is either a regularly scheduled meeting or one that has been called properly as outlined above.

Robert’s Rules of Order (latest version) shall be applicable, if necessary, for all meetings of the Club.

VII.   Amendments to the By-laws

Amendments to these By-laws may be made (1) by the affirmative action of a majority of the Active Members of the Club present at a meeting appropriately scheduled and announced to include this purpose or (2) upon recommendation of the Club officers and with a majority of the Active Members voting through mail or electronic ballot.
